Terms of Service

1. Who we are

CPD Pro is operated by Protagon (“Protagon”, “we”, “us”). CPD Pro helps regulated professionals earn, record, and evidence continuing professional development (CPD / PE-punten) through expert content, short validations, downloadable certificates, and a browser extension.

2. The Service

Depending on your plan, the Service may include:

• A library of professional articles, videos, and other learning content
• Short knowledge tests (typically up to five questions) and an in-product AI assistant
• Downloadable, verifiable certificates and a CPD activity history
• Objectives, content requests, and account management tools
• The CPD Pro Chrome extension, which can extract article or PDF text from a page you choose, generate a quiz, and save results to your account

Features that award PE/CPD points, generate certificates, or consume monthly allowances require an active paid Professional subscription (or equivalent paid access we grant). We may change, add, or retire features, provided we do not take away access you already paid for during the current paid period.

3. Eligibility and accounts

• You must be at least 18 years old and able to enter a binding contract.
• You must provide accurate registration details (including name, email, profession, and contact information) and keep them up to date.
• You must confirm your email address before using the Service.
• You are responsible for keeping your login credentials confidential and for activity under your account.
• One natural person per account. Sharing logins, reselling access, or using the Service to complete tests for someone else is not allowed.

4. Subscriptions, billing, and cancellation

Current paid plans (prices exclude VAT unless stated otherwise on checkout):

• Professional Monthly — billed monthly. CPD units may be subject to a monthly allowance (currently 2 points per month, with unused allowance rolling over as shown in your account).
• Professional Annual — billed yearly, with unlimited earning of eligible CPD units during the paid year, subject to these Terms.

Payments are processed by Stripe. We do not store full card numbers. Taxes, including VAT, may be added at checkout based on your location.

Subscriptions renew automatically until you cancel. You can cancel in account billing (Stripe Customer Portal) or by contacting us. After cancellation, access continues until the end of the period you already paid for. We do not charge a cancellation fee.

Except where Dutch or EU consumer law requires otherwise, fees are non-refundable once a paid period has started. If EU withdrawal rights apply to you as a consumer, you may have 14 days to withdraw from a distance contract. If you ask us to start the Service immediately (for example by completing checkout and accessing content or tests), you acknowledge that you may lose that withdrawal right once performance has begun, to the extent permitted by law.

Former free “Professional Insights” access has been discontinued. Users on that plan must choose a paid plan to keep using paid features.

We may suspend access for failed payments, suspected fraud, or breach of these Terms. Chargebacks made in bad faith may lead to account termination.

5. PE/CPD points and certificates

• We issue a certificate when you meet the completion criteria for eligible content (typically passing the associated validation). Certificates include a unique ID that can be verified on our verification page.
• CPD Pro is designed for self-directed, audit-ready PE/CPD evidence. We partner with professional organisations (including NiRV) for accreditation of the platform. That does not mean every professional body, employer, or regulator worldwide will accept every certificate.
• You are responsible for checking your own body’s rules (hours, topics, self-study limits, documentation) and for submitting evidence as they require.
• We may withhold, correct, or revoke a certificate in case of fraud, shared accounts, automated abuse, or a clear system error.
• Monthly plans may cap how many PE units you can earn in a period. The library itself may still be readable.

6. Chrome extension

The extension works on desktop Google Chrome. You must be signed in with a CPD Pro account. An active paid subscription is required to earn PE/CPD points through the extension.

The extension only sends page or PDF text to our servers when you explicitly start extraction or question generation. You must only use it on content you are allowed to process. You must not use it to scrape, republish, or bypass paywalls or access controls of third-party sites.

Third-party websites remain governed by their own terms. We are not responsible for those sites, their accuracy, or their availability.

7. AI-generated content

We use AI (including OpenAI’s API) to generate questions, summaries, and assistant answers from content you select or from our library. AI output can be incomplete or wrong. It is a study aid, not legal, tax, valuation, medical, or other professional advice. You remain responsible for your professional judgement and for how you rely on any output.

8. Acceptable use

You agree not to:

• Cheat on tests, use answer keys, bots, or another person to obtain certificates
• Copy, scrape, republish, or commercially exploit our content, software, or branding
• Reverse engineer the Service or probe it except through authorised security research disclosed to us
• Upload malware, harass others, or use the Service for unlawful activity
• Misrepresent certificates, points, or accreditation

9. Intellectual property

The Service, including software, design, trademarks (including CPD Pro and Protagon), and original learning materials, is owned by Protagon or our licensors. We grant you a limited, personal, non-transferable, revocable licence to use the Service for your own professional development while your account is in good standing.

Library articles, videos, and third-party pages may remain the property of their publishers. Your licence is to access them through the Service, not to own or redistribute them.

If you send feedback or content requests, you grant us a licence to use that material to operate and improve the Service, without any obligation to you.

10. Availability and support

We aim to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Planned maintenance and force majeure (including failures of Stripe, hosting, or AI providers) may cause downtime. Support is provided by email at service@protagon.ai.

11. Liability

Nothing in these Terms limits liability that cannot be limited under Dutch law, including liability for intent or conscious recklessness.

To the maximum extent permitted by law, Protagon is not liable for:

• A professional body, employer, or auditor declining to recognise a certificate or PE/CPD unit
• Decisions you make based on library content or AI output
• Indirect, incidental, or consequential loss (including lost fees, lost time, or reputational harm)
• Loss caused by third-party sites, the Chrome Web Store, or your own device and network

Where liability can be limited, our total liability for claims arising out of the Service in any 12-month period is limited to the subscription fees you paid us in that period.

12. Termination

You may stop using the Service and cancel renewal at any time. We may suspend or terminate an account for breach, fraud, legal requirement, or prolonged inactivity after notice where reasonable. On termination, your licence ends. We may retain records as described in the Privacy Policy (for example billing records required by law).

13. Changes

We may update these Terms for legal, technical, or business reasons. Material changes will be notified by email or in-product notice and by updating the date above. Continued use after the effective date constitutes acceptance, except where mandatory law says otherwise.

14. Governing law

These Terms are governed by the laws of the Netherlands. The courts of the Netherlands have jurisdiction, without prejudice to mandatory consumer venue rights you may have in your country of residence.
